Acceptance of Terms

The following are the standard Terms and Conditions (“Terms”) for BPS Bioscience for the sale of their products and services. By placing orders for products and services, customers agree to the Terms specified herein. Any other terms offered by the customer regarding the sale of products and services must be agreed upon by BPS Bioscience and signed by authorized BPS Bioscience personnel.

Conditions of Use

Product list prices are indicated on the BPS Bioscience website at bpsbioscience.com, or can be obtained by contacting customer support at [email protected] or 1-858-202-1401. BPS Bioscience reserves the right to change product and service pricing without notice. Where applicable, sales tax (including VAT), duties, or other government fees will be added to orders, unless a tax exemption certificate for the customer is on file with BPS Bioscience. Unless specified in a quote, the customer agrees to purchase products at the specified list prices at the time of the order. Outside of the USA, prices may vary due to global currencies, distribution channels, shipping fees, taxes, or other costs. All non-USA customers should contact their local distributor for accurate pricing and availability.

Terms of payment are net thirty days from the date of shipment for approved customers with a valid PO. Prepayment is required for new customers with no credit history with BPS Bioscience. All prices are in US dollars. For additional questions, please contact [email protected].

Orders arising hereunder may be changed or amended only by written agreement signed by both BPS Bioscience and Customer. Customers may NOT cancel an order(s) after it has been shipped by BPS Bioscience or once work on service projects has begun. Customer will be responsible for payment for the portion of any service work which has been completed prior to cancellation.

All products from BPS Bioscience are intended for RESEARCH USE ONLY. Products are not intended for human or animal therapeutic or clinical diagnostic use. Products should only be used by properly trained and authorized lab personnel. Products and their components are not intended for resale, except through authorized BPS Bioscience distributors. Products and their components are restricted from use as components in the manufacturing of commercial kits or services by the customer, unless agreed upon in writing by BPS Bioscience. As a term of sale, customers agree that products will not intentionally be reverse-engineered, deconstructed, or analyzed for the purpose of determining formulation, protein sequence or chemical composition of such products. Sales of BPS Bioscience products is only permitted to customers at an authorized research or scientific institution.

BPS Bioscience warrants that all products will meet the specifications indicated on the individual Product DataSheet. This warranty lasts for six months from the date of receipt. BPS Bioscience products include directions for use/suggested applications and storage. Any deviations by the customers to such usage and storage will void any warranties. This warranty limits our liability to refund the purchase price or replacement of this product, at our discretion, in the event the product fails to perform due to any manufacturing defect.

BPS Bioscience makes no other warranties of any kind, expressed or implied, including without limitation, warranties of merchantability or fitness for a particular purpose or guarantees of results. BPS Bioscience shall not be liable for any direct, indirect, consequential or incidental damages arising out of the use, the results of use or the inability to use this product, and assumes no liability for injuries, damages or penalties resulting from product use, since the conditions of handling and use are beyond our control.

Customer confirms that they are fully responsible for the use of BPS Bioscience products and agree to indemnify, defend, and hold harmless BPS Bioscience and its officers, employees, distributors, and affiliates against any and all third party claims, loss, damage, expense, and liabilities, including attorney fees, arising from the following: (a) customer’s willful negligence or those of its employees, (b) customer’s breach of these Terms, (c) customer’s alteration of products, (d) customer’s violation of export laws, (e) customer’s violation of any third party intellectual property rights, and (f) customer’s failure to obtain any additional rights for use of products.

BPS Bioscience retains intellectual property rights to all products purchased by the customer, and in no way are these rights transferred to the customer. Intellectual property includes registered or unregistered trade secrets, manufacturing know-how, inventions, patents, copyright, trademarks, and business name.

Shipping & Returns

We process online shopping cart, fax, and phone orders between the hours of 8:00 a.m. and 5:00 p.m. Pacific Standard Time (PST). We make every effort to ship orders within 1-3 business days; all orders received after 12:00 p.m. (PST) will be processed for shipment on the following business day. Products are shipped to addresses in the USA by overnight shipping, Monday through Thursday. International shipments are sent on Mondays and Fridays unless other arrangements are made with our shipping team.

Products are shipped F.O.B. San Diego, CA. Shipping and handling charges are prepaid and added to your invoice. BPS Bioscience cannot be responsible for any delays in delivery for international shipments due to customs inspection and release. Similarly, any materials shipped to BPS Bioscience may experience customs delays that are outside of the responsibility of the company.

Back ordered items or orders requiring multiple shipments will be charged for each shipment.

Returns

Please contact BPS Bioscience customer service ([email protected] or 1-858-202-1401) before returning any products. No returns will be accepted without a return authorization number. A restocking fee of up to 50% of the purchase price may be assessed on any returned products. Custom items and most bulk items are not eligible for return.
